Terms of Service

These Terms of Service are an agreement between you and DeskGuru Technologies (Toronto, Ontario, Canada). By accessing or using DeskGuru, you agree to these terms. If you use DeskGuru on behalf of an organization, you represent that you have authority to bind that organization.

DeskGuru provides business software features including CRM, project and sales tools, communications workflows, and AI-assisted capabilities.

We may update, modify, or discontinue features from time to time to improve the platform or comply with legal and security requirements.

You are responsible for maintaining accurate account information, safeguarding credentials, and all activities that occur under your account.

You must promptly notify us of any unauthorized account access or security concern.

You agree not to misuse DeskGuru, interfere with service operations, attempt unauthorized access, transmit unlawful content, or violate applicable laws.

You are responsible for ensuring your use of messaging, marketing, and customer data features complies with all relevant consent and communications laws.

You retain ownership of your customer and business data. You grant DeskGuru a limited right to host, process, and transmit that data as necessary to provide and secure the services.

You represent that you have all rights and permissions needed to upload and process your data in DeskGuru.

DeskGuru may provide AI-generated outputs to assist workflows. AI outputs may be probabilistic and should be reviewed before use in operational, financial, or legal decisions.

You are responsible for verifying AI-assisted outputs before relying on them.

Paid subscriptions and related fees are billed according to your selected plan and billing cycle.

Unless required by law or agreed in writing, fees are non-refundable. If you need to cancel or have a billing question, email us or use Settings → Billing.

DeskGuru and its related software, content, trademarks, and branding are owned by DeskGuru or its licensors and are protected by applicable intellectual property laws.

These terms grant a limited, non-exclusive, non-transferable right to use the services in accordance with your subscription.

You may stop using DeskGuru at any time. We may suspend or terminate access for material breaches, security risks, non-payment, or legal requirements.

Upon termination, your right to use the services ends, and data handling follows our retention and legal obligations.

DeskGuru is provided on an "as is" and "as available" basis to the extent permitted by law. We do not warrant uninterrupted or error-free service.

To the fullest extent permitted by law, DeskGuru is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, data, or goodwill.

Our aggregate liability for claims related to the services is limited to fees paid by you for DeskGuru during the 12 months preceding the claim, unless a different minimum applies by law.

You agree to indemnify and hold DeskGuru harmless from claims, losses, and expenses arising from your content, your use of the services, or your violation of these terms or applicable law.

These terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law rules. Courts located in Toronto, Ontario, Canada have exclusive jurisdiction, except where applicable law requires otherwise.

We may revise these Terms of Service from time to time. Updated terms become effective when posted, unless otherwise stated. Continued use after an update constitutes acceptance of the revised terms.
